  1. This is a legal agreement ("Agreement") between you (either an 
  2. individual or an entity), the end user ("Recipient"), and InstallShield 
  3. Software Corporation ("InstallShield").  BY INSTALLING, COPYING 
  4. OR OTHERWISE USING THE PRODUCT (AS DEFINED BELOW), YOU AGREE TO 
  5. BE BOUND BY THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE TO 
  6. THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, COPY OR USE THE PRODUCT.

  8. INSTALLSHIELD LICENSE AND NON-DISCLOSURE AGREEMENT FOR PRE-RELEASE
  9. CODE for the INSTALLSHIELD Product code-named "InstallShield Developer" 
  10.  
  11. 1.  GRANT OF LICENSE.  
  12.  
  13.   (a)   InstallShield grants Recipient a limited, non-exclusive,
  14.   nontransferable, non-assignable, royalty-free license to
  15.   install and use copies of the software accompanying this
  16.   Agreement (the "Product") on a maximum of five (5) computers
  17.   residing on Recipient's premises, solely for Recipient's
  18.   internal testing.  All other rights are reserved to
  19.   InstallShield.  Recipient shall not rent, lease, sell,
  20.   sublicense, assign, or otherwise transfer the Product or any
  21.   accompanying printed materials ("Documentation").  Recipient
  22.   may not reverse engineer or decompile the Product, except to
  23.   the extent that local law expressly prohibits the foregoing
  24.   restriction.  Recipient may not use the Product in a live
  25.   operating environment where it may be relied upon to perform
  26.   in the same manner as a commercially released product or with
  27.   data that has not been sufficiently backed up.  Recipient may
  28.   not use the Product for benchmark or performance testing. 
  29.   InstallShield and its suppliers shall retain title and all
  30.   ownership rights to the Product, and this Agreement shall not
  31.   be construed in any manner as transferring any rights of
  32.   ownership or license to the Product or to the features or
  33.   information therein, except as specifically stated herein.
  34.  
  35.   (b)   At InstallShield's request, Recipient agrees to provide
  36.   reasonable feedback to InstallShield, including but not limited
  37.   to usability, bug reports and test results, with respect to
  38.   the testing of the Product.  In addition, if requested by
  39.   InstallShield, Recipient will use reasonable efforts to review
  40.   and comment on all documentation supplied.  All bug reports,
  41.   test results and other feedback made by Recipient shall be
  42.   the property of InstallShield and may be used by InstallShield for
  43.   any purpose it sees fit.  Due to the nature of the
  44.   development work, InstallShield is not certain if errors or
  45.   discrepancies in the Product may be corrected.

  47.   (c)  Recipient's use of the Product shall take place solely at
  48.   Recipient's site. Recipient may not demonstrate or show the
  49.   Product to third parties without the express written
  50.   permission of InstallShield.
  51.  
  52. 2.  TERM OF AGREEMENT.  The term of this Agreement shall commence
  53.     upon Recipient's copying, installing or using the Product
  54.     and shall continue unless terminated by InstallShield in
  55.     writing at any time, with or without cause.  This
  56.     Agreement will terminate without notice upon the
  57.     commercial release of the Product.  Upon the termination
  58.     of this Agreement, Recipient shall cease use of the
  59.     Product and, upon request, shall promptly return to
  60.     InstallShield, or certify destruction of, all full or partial
  61.     copies of the Product and related materials provided by
  62.     InstallShield.
  63.  
  64. 3.  SUPPORT.  InstallShield is not obligated to provide technical or
  65.     other support for the Product.  However, limited
  66.     technical support ("Support Services"), if noted in the
  67.     materials provided to Recipient by InstallShield, may be
  68.     available. Use of any such Support Services is governed
  69.     by the InstallShield policies and programs described in
  70.     "online" documentation, and/or in other InstallShield-provided
  71.     materials.  Any supplemental software code provided to
  72.     Recipient as part of the Support Services shall be
  73.     considered part of the Product and subject to the terms
  74.     and conditions of this Agreement. With respect to
  75.     technical information Recipient provides to InstallShield as
  76.     part of the Support Services, InstallShield may use such
  77.     information for its business purposes, including for
  78.     product support and development. InstallShield will not
  79.     utilize such technical information in a form that
  80.     personally identifies Recipient.  Such limited Support
  81.     Services may not be available in all countries outside
  82.     the United States and will be discontinued once the
  83.     Product is commercially released.
  84.  
  85. 4.  MAINTENANCE.  InstallShield is not obligated to provide
  86.     maintenance, technical support, or updates to Recipient
  87.     for Product licensed under this Agreement.  In no event
  88.     shall InstallShield be obligated to provide Recipient, free
  89.     of charge, a copy of the commercial release version of
  90.     the Product in connection with Recipient's participation
  91.     in the testing program.  InstallShield is not obligated to
  92.     make the Product commercially available.  
  93.  
  94. 5.  CONFIDENTIALITY.  The Product, including its features, is
  95.     proprietary and confidential information to InstallShield.  
  96.     Recipient agrees not to disclose or provide the Product, 
  97.     documentation, or any information relating to the Product 
  98.     (including features or the results of use or testing) to any
  99.     third party except as expressly provided herein without 
  100.     InstallShield's express written permission.  However, Recipient
  101.     may disclose confidential information in accordance with 
  102.     judicial or other governmental order, provided Recipient shall
  103.     give InstallShield reasonable notice prior to such disclosure
  104.     and shall comply with any applicable protective order or
  105.     equivalent.  Recipient shall not be liable to InstallShield
  106.     for such information which Recipient can prove (1) is
  107.     already known to Recipient; (2) becomes publicly known
  108.     through no wrongful act of Recipient; (3) is rightfully
  109.     received from a third party without similar restriction
  110.     and without breach of this Agreement; or (4) is
  111.     independently developed by Recipient.  This provision
  112.     shall survive the termination or expiration of this
  113.     Agreement.

  115. 6.  DISCLAIMER OF WARRANTIES.  To the maximum
  116.     extent permitted by applicable law, InstallShield and its
  117.     suppliers provide to Recipient the Product and Support
  118.     Services AS IS AND WITH ALL FAULTS;
  119.     and InstallShield and its suppliers hereby disclaim with
  120.     respect to the Product and Support Services all
  121.     warranties and conditions, whether express, implied or
  122.     statutory, including, but not limited to, any (if any)
  123.     warranties, duties or conditions of or related to: 
  124.     merchantability, fitness for a particular purpose, lack
  125.     of viruses, accuracy or completeness of responses,
  126.     results, workmanlike effort and lack of negligence.  ALSO
  127.     THERE IS NO WARRANTY, DUTY OR
  128.     CONDITION OF TITLE, QUIET ENJOYMENT,
  129.     QUIET POSSESSION, CORRESPONDENCE TO
  130.     DESCRIPTION OR NON-INFRINGEMENT.  THE
  131.     ENTIRE RISK ARISING OUT OF USE OR
  132.     PERFORMANCE OF THE PRODUCT AND ANY
  133.     SUPPORT SERVICES REMAINS WITH
  134.     RECIPIENT.
  135.  
  136. 7.  EXCLUSION OF INCIDENTAL, CONSEQUENTIAL
  137.     AND CERTAIN OTHER DAMAGES.  TO THE
  138.     MAXIMUM EXTENT PERMITTED BY
  139.     APPLICABLE LAW, IN NO EVENT SHALL
  140.     INSTALLSHIELD OR ITS SUPPLIERS BE LIABLE
  141.     FOR ANY SPECIAL, INCIDENTAL,
  142.     INDIRECT, PUNITIVE OR CONSEQUENTIAL
  143.     DAMAGES WHATSOEVER (INCLUDING, BUT
  144.     NOT LIMITED TO, DAMAGES FOR:  LOSS OF
  145.     PROFITS, LOSS OF CONFIDENTIAL OR
  146.     OTHER INFORMATION, BUSINESS
  147.     INTERRUPTION, PERSONAL INJURY, LOSS
  148.     OF PRIVACY, FAILURE TO MEET ANY DUTY
  149.     (INCLUDING OF GOOD FAITH OR OF
  150.     REASONABLE CARE), NEGLIGENCE, AND ANY
  151.     OTHER PECUNIARY OR OTHER LOSS
  152.     WHATSOEVER) ARISING OUT OF OR IN ANY
  153.     WAY RELATED TO THE USE OF OR
  154.     INABILITY TO USE THE PRODUCT OR THE
  155.     SUPPORT SERVICES, OR THE PROVISION OF
  156.     OR FAILURE TO PROVIDE SUPPORT
  157.     SERVICES, OR OTHERWISE UNDER OR IN
  158.     CONNECTION WITH ANY PROVISION OF THIS
  159.     AGREEMENT, EVEN IF InstallShield OR ANY
  160.     SUPPLIER HAS BEEN ADVISED OF THE
  161.     POSSIBILITY OF SUCH DAMAGES.  
  162.  
  163. 8.  LIMITATION OF LIABILITY AND REMEDIES. 
  164.     Notwithstanding any damages that Recipient might incur
  165.     for any reason whatsoever (including, without limitation,
  166.     all damages referenced above and all direct or general
  167.     damages), the entire liability of InstallShield and any of
  168.     its suppliers under any provision of this Agreement and
  169.     your exclusive remedy for all of the foregoing shall be
  170.     limited to actual damages incurred by Recipient based on
  171.     reasonable reliance up to the greater of the amount
  172.     actually paid by Recipient for the Product or U.S.$5.00. 
  173.     The foregoing limitations, exclusions and disclaimers
  174.     shall apply to the maximum extent permitted by applicable
  175.     law, even if any remedy fails its essential purpose.

  177. 9.  GOVERNING LAW; ATTORNEYS' FEES.  This
  178.     Agreement shall be construed and controlled by the laws
  179.     of the State of Illinois, and Recipient consents to the
  180.     jurisdiction and venue in the federal courts sitting in
  181.     Cook County, Illinois, unless no federal subject matter
  182.     jurisdiction exists, in which case Recipient consents to
  183.     the jurisdiction and venue in the Superior Court of Cook
  184.     County, Illinois.  Recipient waives all defenses of
  185.     lack of personal jurisdiction and forum non conveniens. 
  186.     Process may be served on either party in the manner
  187.     authorized by applicable law or court rule.  If either
  188.     InstallShield or Recipient employs attorneys to enforce any
  189.     rights arising out of or relating to this Agreement, the
  190.     prevailing party shall be entitled to recover reasonable
  191.     attorneys' fees.

  193. 10.  U.S. GOVERNMENT RESTRICTED RIGHTS.  The
  194.      Product and Documentation provided to the U.S.
  195.      Government pursuant to solicitations issued on or after
  196.      December 1, 1995 is provided with the commercial rights
  197.      and restrictions described elsewhere herein. Product
  198.      and Documentation provided to the U.S. Government
  199.      pursuant to solicitations issued prior to December 1,
  200.      1995 is provided with RESTRICTED RIGHTS as provided for
  201.      in FAR, 48 CFR 52.227-14 (JUNE 1987) or FAR, 48 CFR
  202.      252.227-7013 (OCT 1988), as applicable.

  204. 11.  EXPORT RESTRICTIONS.  Recipient
  205.      acknowledges that the Product is of U.S. origin. 
  206.      Recipient agrees to comply with all applicable
  207.      international and national laws that apply to these
  208.      products, including the U.S. Export Administration
  209.      Regulations, as well as end-user, end-use and country
  210.      destination restrictions issued by U.S. and other
  211.      governments.
